AVICO – Standard Commercial Terms
Document Purpose
This document consolidates Avico’s standard commercial terms, warranties, inclusions, exclusions, service support conditions and SLAs. It is intended to be appended to all project quotations and forms the contractual baseline unless expressly overridden in writing.
1. Definitions
Avico means Avico Electronics Pty Ltd.
Client means the entity purchasing Goods and/or Services from Avico.
Goods means all equipment supplied by Avico.
Services means design, installation, configuration, commissioning, programming, training and support services.
ACL means the Australian Consumer Law.
2. Scope of Supply
Avico will supply Goods and Services strictly in accordance with the agreed quotation and documented scope of works. Any variation, omission or addition requested by the Client will constitute a variation and may incur additional charges.
3. Inclusions & Exclusions
Inclusions and exclusions are governed by Avico’s Installation Inclusions & Exclusions Schedule. Without limitation, Avico excludes responsibility for client-supplied equipment, third-party infrastructure, building works, IT network configuration beyond documented AV requirements, and ongoing maintenance unless expressly included.
4. Pricing & Payment
Pricing is as per the accepted quotation. GST is additional unless stated otherwise. Payment terms are strictly as stated in the quotation. Avico reserves the right to suspend works for overdue accounts.
5. Risk & Title
Risk in Goods passes to the Client upon delivery to site or installation, whichever occurs first. Title remains with Avico until payment is received in full.
6. Warranty
Avico warrants that Goods supplied will be free from defects in materials and workmanship for the period stated in the quotation or manufacturer warranty. Warranty excludes misuse, accidental damage, third-party works, consumables, and environmental conditions outside specification. This warranty operates in addition to any rights under the ACL where applicable.
7. Australian Consumer Law
Where the Client qualifies as a Consumer under the ACL, statutory guarantees apply. For supplies exceeding $100,000 and not ordinarily acquired for personal or domestic use, ACL consumer guarantees do not apply.
8. Limitation of Liability
To the maximum extent permitted by law, Avico excludes all liability for consequential loss including loss of profit, revenue, data or business interruption. Avico’s aggregate liability is limited to the value of the Goods and Services supplied under the relevant contract.
9. Force Majeure
Avico is not liable for delays or failure to perform caused by events beyond its reasonable control.
10. Service & Support
Ongoing service and support is only provided where a separate Service & Support Agreement is executed. Without such agreement, post-installation support is chargeable at published rates.
11. Service Level Agreement
SLA response times apply only where an active support agreement exists and are subject to site access, connectivity and severity classification.
12. Rate Card
Published rate cards are indicative only and subject to change. Applicable rates will be confirmed at time of quotation.
13. Intellectual Property
All designs, drawings, configurations and documentation remain the intellectual property of Avico unless otherwise agreed in writing.
14. Governing Law
This agreement is governed by the laws of New South Wales, Australia.
